Terms of Service

1. Acceptance of Terms
By accessing or using LuniOps on behalf of a company, organization, or other business customer, you confirm that you are authorized to bind that customer and that the customer accepts these Terms, the applicable order form, and any agreed data processing agreement. If you do not agree to these Terms, do not use the service.
2. B2B Scope
LuniOps is intended for business and professional use, not for private consumer purchases. Public pricing, pilot pages, or marketing descriptions are informational only; the service actually provided to a customer is defined by the applicable order form, enabled modules, tenant configuration, and written agreements.
3. Description of Service
LuniOps provides software tools for B2B distribution workflows, including order management, delivery operations, invoicing support, stock and lot tracking, customer/account ledgers, document exports, and related administrative workflows. Some modules may be pilot, region-specific, provider-dependent, or disabled until reviewed, configured, and deployed for a particular customer.
4. Customer Responsibilities
The customer is responsible for the accuracy of company, product, customer, tax, price, bank, delivery, and accounting data entered into LuniOps; for assigning appropriate user roles; for reviewing generated invoices, delivery notes, exports, and tax classifications before business use; and for using the service in accordance with applicable law, internal approvals, and professional advice.
5. User Accounts and Access
Each user must keep credentials confidential, use only their own account, and notify LuniOps promptly of suspected unauthorized access. Tenant administrators are responsible for inviting users, assigning roles, disabling access when staff leave, and keeping business contact details current.
6. Customer Data and Intellectual Property
Customer data remains the customer's data. LuniOps and its operators retain ownership of the software, design, code, documentation, trademarks, templates, and platform know-how. The customer grants LuniOps the limited rights needed to host, process, secure, support, back up, and operate the service for that customer.
7. Data Processing and Privacy
Where signed customer terms appoint the confirmed provider to process personal data on behalf of a business customer, the executed data processing agreement (DPA/AVV) and privacy policy apply in addition to these Terms. The customer remains responsible for its own controller obligations, notices to employees/customers, lawful-basis decisions, data-entry choices, and any required works-council, employment, or sector-specific approvals.
8. Acceptable Use
You must not misuse the service, bypass security controls, attempt unauthorized access, upload malicious code, overload the platform, scrape data outside documented interfaces, use the service for unlawful content or transactions, or interfere with other tenants. LuniOps may suspend access where reasonably necessary to protect the service, customers, data, or legal obligations.
9. Fees, Taxes, and Billing
Fees, billing cadence, included modules, support scope, and cancellation terms are defined in the applicable order form or written agreement. Prices are exclusive of VAT, KDV, sales tax, withholding, banking fees, and similar charges unless expressly stated otherwise. During invite-only or manual-billing phases, no public self-service checkout is implied. Customer-specific tax rates, invoice formats, and product classifications must be reviewed before relying on generated business records.
10. Availability, Support, and Changes
LuniOps aims to provide a reliable service, but no uptime SLA, response-time commitment, or incident credit applies unless agreed in a separate order form or service level agreement. Features may change, be improved, or be temporarily limited for security, maintenance, provider, legal, or operational reasons.
11. Term, Suspension, Termination, and Data Export
The subscription term, renewal, and termination rights are defined in the applicable order form or written agreement. LuniOps may suspend or terminate access for material breach, non-payment, security risk, unlawful use, or legal obligation. On termination, the customer should export needed business records within the agreed retention/export window; statutory records may be retained where legally required.
12. Warranty and Liability
Except for commitments expressly agreed in writing, the service is provided on a commercially reasonable basis and is not legal, tax, accounting, logistics, food-safety, or employment advice. Liability is limited to the extent permitted by applicable law and the applicable agreement. Nothing in these Terms excludes liability that cannot legally be excluded.
13. Force Majeure and Provider Dependencies
LuniOps is not responsible for delays or failures caused by events outside reasonable control, including internet outages, cloud provider incidents, payment/provider disruptions, regulatory changes, labor disputes, force majeure events, or customer-side systems and data.
14. Governing Law and Venue
Unless a signed agreement states otherwise and subject to mandatory law, these Terms are governed by German law. The competent courts in Germany have jurisdiction where legally permitted. Customers operating in Turkey, Germany, or other jurisdictions remain responsible for local legal, tax, accounting, employment, and sector-specific requirements.
